The PhD in Law of Business and Commerce at Università Bocconi is highly innovative, methodologically rigorous but provides for flexible curricula. The course is structured around the law governing the modern corporation and its relationships with its different constituencies, combining an interdisciplinary approach, an international vision and specialization in the single areas of legal research.

The main topics covered are: corporate and securities law, antitrust, white-collar crimes, employment law, corporate litigation and bankruptcy. There is also the possibility to carry out additional seminars on empirical research for legal studies, law and economics, comparative business law, legal interpretation and business law history.

The teaching structure aims to:

* * allow students to acquire the correct methodology, general theory and adequate knowledge of the tools necessary to understand Business Law;
* to deepen student's knowledge of Businesses from an Economic, Legal and cultural perspective so that researchers are supplied with a solid background of methods and knowledge to cope with the complex phenomenon known as "business".

The course lasts three years and is divided into semesters.

The following courses are offered: Teoria e tecnica dell'interpretazione giuridica; Analisi economica: corporate and securities law; Ricerca empirica per le scienze giuridiche; Diritto dell'impresa societaria: finanziamento e organizzazione I e II; Storia del diritto dell'impresa e delle società; Diritto comparato dell'impresa e delle società.

Within each field the student can design his or her own curriculum together with their assigned tutor, also including a number of courses in economics, finance and accounting offered by Bocconi's Graduate and PhD Schools.

Third Year

The third year is dedicated to the completion of the Dissertation (which can be written either in Italian or English), whose topic is defined in the first year. In this year it is possible to undertake a period of study abroad at leading academic and research institutions in Europe and in the United States. It is possible for students to go abroad during the second semestre of the second year, upon approval of the PhD coordinator.
